Terms and Conditions

1. Acceptance of Terms

By accessing or using VidyalayaERP ("the Service", "Platform", "Software"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms apply to all users, including school administrators, teachers, staff, parents, and students. If you do not agree with any part of these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and VidyalayaERP (operated by [Company Name], a company registered in India).

2. Description of Service

VidyalayaERP is a cloud-based school management software (SaaS) that provides tools for student management, attendance tracking, fee collection, examination management, staff payroll, library management, transport tracking, and related administrative functions for educational institutions.

3. Account Registration and Use

To use VidyalayaERP, schools must register an account. By registering, you agree that:

You are authorized to represent and bind the institution you register.
All information provided during registration is accurate, current, and complete.
You are responsible for maintaining the confidentiality of your login credentials.
You will notify us immediately of any unauthorized use of your account.
You are responsible for all activities that occur under your account.
Each user account (teacher, staff, parent) is for individual use only and must not be shared.

4. Subscription and Payment Terms

4.1 Pricing Plans

VidyalayaERP offers multiple subscription plans (Basic, Premium, Professional) as described on our Pricing page. Prices are in Indian Rupees (INR) and are subject to applicable GST.

4.2 Payment

Subscriptions are billed annually (or as specified in your plan). Payment is due at the beginning of each billing cycle. We accept UPI, credit/debit cards, net banking, and bank transfers.

4.3 Auto-Renewal

Subscriptions renew automatically unless cancelled at least 7 days before the renewal date. We will send a renewal reminder 30 days in advance.

4.4 Price Changes

We reserve the right to modify pricing with 30 days' written notice. Continued use after price changes constitutes acceptance of the new pricing.

5. Free Trial

We offer a 30-day free trial for new subscribers. No credit card is required for the trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service. Trial accounts are subject to these Terms.

6. Refund Policy

We offer a 7-day refund policy from the date of payment for new subscriptions. Refunds will not be issued for:

Renewal payments after the subscription period has started.
Partial months/periods of service.
Add-on services once activated.
Accounts terminated due to violations of these Terms.

Refund requests must be submitted to billing@vidyalayaerp.com within 7 days of payment.

7. License to Use

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the Service for your institution's internal operations.
Allow your authorized users (staff, teachers, parents, students) to access the Service.

You may not: sublicense, sell, resell, or commercially exploit the Service; copy or duplicate the Service's code or architecture; reverse engineer any aspect of the Service; or use the Service to build a competing product.

8. Data Ownership

You own all data you upload or create in VidyalayaERP ("Customer Data"). We do not claim ownership of your data. Upon request or account termination, we will provide a data export in standard formats within 30 days. After 90 days of account termination, your data will be permanently deleted.

9. Acceptable Use

You agree not to use the Service to:

Violate any applicable local, state, national, or international law.
Upload or transmit harmful, offensive, or illegal content.
Harass, abuse, or harm other users.
Attempt to gain unauthorized access to any part of the Service.
Introduce malware, viruses, or malicious code.
Use automated bots or scripts to access the Service without permission.
Overwhelm our infrastructure with excessive API requests (rate limits apply).

10. Service Availability (SLA)

We target 99.9% uptime for the platform, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 24 hours in advance. We are not liable for downtime caused by third-party services, force majeure events, or factors outside our reasonable control.

11. Intellectual Property

VidyalayaERP, its logo, software, code, design, and all related intellectual property are owned by us and protected by Indian and international intellectual property laws. You may not use our trademarks or branding without explicit written permission.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Limitation of Liability

To the maximum extent permitted by applicable law, VidyalayaERP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses arising from:

Your use or inability to use the Service.
Any unauthorized access to your data.
Errors or inaccuracies in the Service.
Any bugs, viruses, or harmful components transmitted through the Service by third parties.

Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless VidyalayaERP and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

Either party may terminate the subscription with 30 days' written notice. We may immediately terminate or suspend your account if you violate these Terms, fail to pay fees, or engage in fraudulent activity. Upon termination, your right to use the Service ceases immediately.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved amicably within 30 days. If unresolved, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings in Dibrugarh, Assam, India. The courts of Dibrugarh, Assam shall have exclusive jurisdiction.

17. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 14 days in advance. Continued use after the effective date constitutes acceptance of the modified Terms.
